When a client is creating a business, it is critical that a client consult with and obtain counsel in order to properly set up the business so that there are no problems or at least minimal problems during operation of the business.   Particularly where there are multiple owners of the business it is important to have a shareholder or partnership agreement so that the rights of all investors are clearly stated.   It is important to make a decision as to what business entity will be employed in the operation of the business.

For example, business entities include sole proprietorship, general partnership, limited partnership, corporation, limited liability company.   If the start up business is contemplating purchasing or leasing property it is critical that this be analyzed and handled in the proper matter and that the ownership and or leasing of the property be done in a way that is beneficial to the individuals and the business entity.

Similarly, when a business entity is terminating a business, or relocating, it is important that all loose ends are tied up and where appropriate the lease is properly terminated so that no additional rentals are due, that the business entity is properly dissolved so that no further taxes are due, and that the individuals involved are where possible, not exposed to individual liability.
